Become A Stockist

1. Sales Options

Please select one or both (☐) of the following options:

• Stockist purchases prints outright at the wholesale price list provided by the artist.
• Minimum order: 20 prints per order.
• Stockist must add their own mark-up and VAT (if required).
• Artist receives full wholesale price; any VAT added is paid by the stockist and not to be deducted from the wholesale price.

• Stockist sells prints on consignment.
• Stockist must add their own mark-up and VAT (if required).
• Artist receives full wholesale price for each sale at the end of the month in which it is made, or in the first week of the next month. Any VAT added is paid by the stockist and not to be deducted from the wholesale price.
• Sales’ reporting to the artist is to be provided monthly.
• Unsold prints may be returned after a minimum period of 3 months upon request.

2. Artwork

• This Agreement covers both limited edition and open edition prints.
• Artist retains full copyright of all artworks; stockist may not reproduce or license any artwork.
• Stockist may use images of the artist’s work for marketing purposes (e.g. social media, website), provided credit is given to Martli Heyns.

3. Logistics & Shipping

• All prints will be shipped and packaged by the artist; shipping and packaging costs are covered by the artist.
• In the event that any prints are damaged during shipping they will be replaced by the artist, provided the damage is reported by the Stockist, within 24 hours of receipt
• Prints damaged while in the stockist’s possession or shop are the responsibility of the stockist. If prints are stolen or damaged by customers, stockist will ensure that the artist receives full wholesale price.
• Stockist is granted exclusive rights to sell Martli Heyns Art Studio prints in the town or city where they are located for the duration of this Agreement.

4. Duration & Termination

• This Agreement is ongoing until cancelled by either party.
• Either party may terminate this Agreement with 30 days’ written notice.

5. Jurisdiction

• This Agreement shall be governed by and construed in accordance with the laws of South Africa, covering all nine provinces.

6. Miscellaneous

• This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes any prior agreements or understandings.
• Any amendments to this Agreement must be made in writing and signed by both parties.
• If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
